By using this Website or by proceeding with payment for any invoice provided by Outsourcery, you automatically agree to be bound by these Terms.

SECTION A: CLIENT SERVICE AGREEMENT

2. Scope of Services The services to be provided are strictly limited to those described in the invoice or project proposal. Any additional tasks or services outside this scope will require a separate agreement or an additional fee.

3. Payment Terms & Refunds

  • Schedule: Payments are due as stated on the invoice.
  • Refund Policy: To the extent permitted by Australian Consumer Law, all payments made are non-refundable. This ensures that our time and resources are allocated effectively to your project.
  • Late Payments: We reserve the right to pause all work immediately if payment is not received by the due date.

4. Client Obligations The Client agrees to provide all necessary information, assets, and approvals required for us to complete the work in a timely manner. Delays caused by the Client may result in adjustments to project timelines.

5. Confidentiality Both parties agree to keep all proprietary information, business strategies, trade secrets, and sensitive data shared during the engagement strictly confidential. This obligation remains in effect even after the service agreement is terminated.

6. Intellectual Property (Client Work) Upon full payment, the Client will own the rights to the final deliverables. However, Outsourcery retains the right to use the work for portfolio or marketing purposes, unless a Non-Disclosure Agreement (NDA) has been signed stating otherwise.

7. Force Majeure Outsourcery shall not be liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, internet service provider failures, or power outages.

8. Termination of Services Either party may terminate the service agreement with 30 days’ written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination.

9. Intellectual Property Rights (Website) Other than the content you own, under these Terms, Outsourcery and/or its licensors own all the intellectual property rights and materials contained in this Website. You are granted limited license only for purposes of viewing the material contained on this Website.

  • selling, sublicensing and/or otherwise commercializing any Website material;

13. Governing Law & Jurisdiction These Terms will be governed by and interpreted in accordance with the laws of the State of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Australia for the resolution of any disputes.
